General Terms and Conditions

These General Terms and Conditions ("GTC") govern the relationship between Gravitonic Ltd, hereinafter referred to as "the Agency", and its clients, hereinafter referred to as "the Client". By ordering services from the Agency or by accepting these GTC, the Client agrees to be bound by these terms.


1. Definitions

"Services" means the design, development, consultation, and hosting services offered by the Agency.
"Agreement" means this General Terms and Conditions (GTC) between the Agency and the Client.
"Client Content" means any text, images, audio files, video files, or other materials provided by the Client to the Agency for use in the Services.
"Intellectual Property Rights" means patents, trademarks, copyrights, trade secrets, and any other intellectual property rights recognized by law.


2. Scope of Services

The Agency shall provide the Client with the following Services:
Design: The Agency will design a website, logo, or other visual elements for the Client in accordance with the specifications provided.
Development: The Agency will develop a website, application, or other digital product for the Client using the specified programming languages and technologies.
Consultation: The Agency will provide consultation services to the Client on matters related to their online presence, including but not limited to SEO, content strategy, and social media marketing.
Hosting: The Agency will host the Client's website, application, or other digital product on a server or cloud storage solution.


3. Client Responsibilities

The Client shall be responsible for:
Providing accurate and complete Client Content in a timely manner;
Ensuring that all Client Content is free from any intellectual property rights violations and does not infringe upon the Intellectual Property Rights of others;
Paying all fees and expenses related to the Services in accordance with the payment terms outlined below.


4. Payment Terms

The Client shall pay for the Services as follows:
A deposit of 30% shall be paid prior to the commencement of the Services, which shall be non-refundable unless otherwise agreed upon by the parties;
The balance of the fees and expenses shall be paid in more installments over a period of agreed date range;
Late payments may incur a penalty equal to 5% of the outstanding balance.


5. Intellectual Property Rights

The Agency retains ownership of all Intellectual Property Rights related to the Services, including but not limited to any software, code, and design elements created for the Client. The Client shall obtain a non-exclusive license to use the Services for its intended purpose, subject to compliance with these GTC.


6. Confidentiality

The Agency shall maintain the confidentiality of all Client Content and other confidential information provided by the Client. The Agency shall not disclose any such information without the prior written consent of the Client.


7. Limitation of Liability

In no event shall the Agency be liable for:
Any indirect, consequential, or punitive damages;
Any loss of profits, revenue, or business;
Any claims arising from the use of the Services by the Client or its affiliates; The liability of the Agency for any direct damages shall not exceed the total amount paid by the Client under this Agreement.


8. Governing Law and Jurisdiction

These GTC shall be governed by and construed in accordance with the laws of United Kingdom.


9. Entire Agreement

These GTC constitute the entire agreement between the Agency and the Client, and supersede all prior or contemporaneous agreements, whether written or oral.


10. Amendments

The Agency may amend these GTC from time to time by providing notice to the Client. The Client shall be deemed to have accepted any such amendments unless it notifies the Agency in writing within 7 days that it does not accept the amended terms.

By accepting these GTC, the Client acknowledges that it has read, understood, and agreed to be bound by these terms.


Effective Date

These GTC are effective as of 01.07.2024.
